Terms & Conditions

1. Payment Terms

All invoices issued by Flat Top Accounting Solutions are due upon receipt unless otherwise stated in writing. Failure to remit payment timely may result in suspension or termination of services.

Flat Top Accounting Solutions reserves the right to charge late fees, finance charges, collection costs, reasonable attorney’s fees, and any associated expenses incurred in collecting unpaid balances.

2. Methods of Payment

Accepted payment methods include check, ACH/bank transfer, and major credit cards. Clients are responsible for any fees associated with rejected payments, charge-backs, returned checks, or failed transactions.

3. Invoice Disputes

Any dispute regarding invoice charges or billed services must be submitted in writing within ten (10) calendar days of the invoice date. Failure to provide written notice within this period constitutes acceptance of the invoice and waiver of any dispute regarding such charges.

Flat Top Accounting Solutions will investigate all timely submitted disputes and provide a response within a reasonable time-frame, generally within forty-eight (48) business hours where practicable.

4. Service Rate Review & Adjustments

All service rates, pricing structures, and engagement fees are subject to review and adjustment at any time based on factors including, but not limited to, transaction volume, complexity of work, responsiveness of the client, condition of financial records, time commitment required, scope changes, accelerated deadlines, additional compliance requirements, or unforeseen issues encountered during the engagement.

Any revised pricing shall become effective upon written notice to the client.

5. Financial Statement Delivery & Deadlines

Standard financial statement delivery is targeted for the twentieth (20th) business day following month-end unless otherwise specified in writing.

Delivery timelines are contingent upon the client providing complete, accurate, and timely information, records, documentation, and access to all required systems and accounts.

Requests for expedited or accelerated closes, reporting, or deadlines may be subject to additional fees and may require separate written approval.

Flat Top Accounting Solutions shall not be held responsible for delays caused by incomplete information, delayed client responses, third-party system interruptions, banking delays, software outages, or restricted system access.

6. Client Responsibilities & Information Accuracy

The client acknowledges and agrees that Flat Top Accounting Solutions relies entirely upon the accuracy, completeness, and timeliness of information, documentation, and representations provided by the client and by third-party software, platforms, financial institutions, payroll providers, point-of-sale systems, accounting systems, applications, and other external data sources to which access is granted.

Flat Top Accounting Solutions does not independently audit, verify, validate, or guarantee the accuracy, completeness, reliability, or availability of information received from clients or third-party systems.

Accordingly, all bookkeeping, accounting records, financial statements, reports, reconciliations, tax-related work-papers, and other deliverables produced by Flat Top Accounting Solutions are dependent upon and limited by the quality and accuracy of the information and system data made available to the firm.

The client remains solely responsible for reviewing all deliverables and for maintaining accurate books, records, supporting documentation, and internal controls.

7. Scope of Services

Flat Top Accounting Solutions provides bookkeeping, accounting, advisory, and related support services only as specifically agreed upon in writing. Services do not constitute an audit, review, compilation, forensic examination, fraud detection engagement, legal advice, investment advice, or assurance engagement unless separately contracted in writing.

Flat Top Accounting Solutions shall not be responsible for detecting fraud, theft, embezzlement, misappropriation, illegal acts, or errors unless specifically engaged to do so in writing.

8. Limitation of Liability

To the fullest extent permitted by law, Flat Top Accounting Solutions shall not be liable for any indirect, incidental, special, punitive, consequential, or lost profit damages arising out of or related to the services provided.

In all circumstances, the total liability of Flat Top Accounting Solutions for any claim arising from services rendered shall be limited to the total fees paid by the client for the specific services giving rise to the claim during the three (3) months preceding the event giving rise to liability.

9. Service Suspension & Termination

Flat Top Accounting Solutions reserves the right to suspend, withhold deliverables, revoke system access, or terminate services immediately for accounts that remain unpaid for more than ninety (90) days, for non-cooperation, abusive conduct, failure to provide requested documentation, or any material breach of these Terms & Conditions.

The client agrees that Flat Top Accounting Solutions shall not be liable for any damages, penalties, missed deadlines, interest, lost data, or other consequences resulting from service suspension due to nonpayment or noncompliance.

10. Termination by Client

The client may terminate services by providing no less than thirty (30) days written notice. The client remains responsible for payment of all services rendered, work performed, time incurred, subscriptions utilized, and expenses accrued through the effective termination date.

Any work requested during the notice period shall continue to be billable at applicable rates.

11. Reliance on Third-Party Software & Systems

Flat Top Accounting Solutions utilizes various third-party software platforms, applications, cloud-based systems, and integrations in the course of providing services. The firm is not responsible for software outages, synchronization failures, cybersecurity incidents, corrupted data, access restrictions, data loss, banking feed errors, or inaccuracies originating from third-party providers.

The client acknowledges that continued access to required systems is necessary for timely and accurate service performance.

12. Electronic Communication

The client consents to communication and transmission of documents electronically, including via email and cloud-based software systems. While Flat Top Accounting Solutions utilizes commercially reasonable safeguards, electronic communications may not be fully secure, and the client accepts associated risks.

13. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Texas.
